GoLiveX Terms of Service

1. Acceptance of Terms

By accessing or using the GoLiveX mobile and web application (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, do not use the Service.

2. Description of the Service

GoLiveX is an AI-powered platform designed to assist ATE support consultants, EMR/EHR trainers, and medical practitioners by providing guidance, troubleshooting support, and best practices for various EMR systems. The Service includes access to multiple EMR modules via subscription plans and API calls.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of the Service, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

5. Subscription & Payment Terms

• Subscription Plans: The Service is offered on a subscription basis, with various tiers based on the number of EMR systems accessible and the monthly prompt (API call) limits.

• Billing: Payment will be charged in advance on a recurring monthly basis, according to the plan selected.

• Usage Limits & Overage: Each plan includes a specified prompt limit. Additional usage beyond the included limit will incur extra charges as detailed on the pricing page.

• Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle. No refunds will be issued for partial billing periods unless required by law.

6. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for maintaining the confidentiality of your account information and any actions taken under your account.

7. Prohibited Conduct

You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.

• Reverse engineer, decompile, or otherwise attempt to extract source code from the Service.

Transmit any viruses, malware, or other harmful code through the Service.

Share or disclose your account credentials with third parties.

8. Intellectual Property Rights

All content, software, and intellectual property related to the Service (including but not limited to GPT responses, designs, and documentation) are owned by GoLiveX or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Termination and Suspension

We reserve the right to suspend or terminate your account, without prior notice, for any breach of these Terms or if we determine, in our sole discretion, that your use of the Service is harmful to other users or our business interests.

10. Disclaimers and Limitation of Liability

• Disclaimer of Warranties: The Service is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that the Service will be error-free or uninterrupted.

• Limitation of Liability: In no event shall GoLiveX or its affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless GoLiveX, its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your use of the Service or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the United States of America, and you consent to exclusive jurisdiction and venue in these courts.

13. Changes to Terms

We may modify these Terms at any time. The updated Terms will be posted on the Service with an updated effective date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
